Senior Legal Counsel

The Senior Legal Counsel role will provide legal advisory services, legal documentation services, and legal project management services to the company for a range of general and energy specific agreements, regulatory matters and other legal issues across all aspects of the business, including but not limited to major renewable energy development projects.

 

Key responsibilities include:

  • Providing timely, commercially relevant legal advice and recommendations on a wide range of issues arising across the company;
  • Reviewing and drafting legal documentation that is used in the ordinary course of business, including, but not limited to, the following:
    • Drafting and negotiating construction contracts, escrow agreements, power purchase agreements, supply contracts, minor works contracts, network connection arrangements;
    • Drafting and negotiating sales contracts and project documentation (leases, construction contracts and finance documents);
    • Drafting and negotiating land contracts and managing legal documentation associated with landholdings;
  • Preparing FIRB applications;
  • Supporting development projects, mergers & acquisitions, financing and due diligence work;
  • Providing strategic, commercially-minded advice to internal stakeholders on both development and operational projects;
  • Providing legal support in disputes and litigation;
  • Liaising with regulatory authorities, government bodies and other organisations as required;
  • Instructing and efficiently managing the use of external lawyers;

 

Knowledge, experience & skills:         

  • Qualified lawyer admitted to practice in Victoria with relevant 7-10 plus years of PQE, in a law firm or a strong in-house legal team.
  • Experience in major transactions such as infrastructure or construction projects (especially in energy sector), mergers and acquisitions, property and/or project finance. 
  • Experience in commercial drafting, negotiation and advice.
  • Experience in the energy sector desirable.
  • Outstanding drafting and verbal communications skills.
  • Strong legal experience in commercial areas of the law.
  • Strong client and stakeholder management skills.
  • High level of negotiation and influencing skills. 
  • Independent worker with high level organisation skills, including well-developed priority setting skills and the ability to meet deadlines
